Terms of Service
These terms cover use of byartefact.com and how we work when you engage byArtefact for paid project work. They are meant to be fair and readable. If a written proposal or statement of work (SOW) says something different for a specific engagement, that document wins for that engagement.
1. Who we are
byArtefact (“we”, “us”) is operated by OJ Baloyi, Johannesburg. We provide connective product and web work — including campaign enquiry pages, booking and confirmation paths, lead qualification flows, performance passes, platform refreshes, and integrations. 2. Using this website
- You may browse the site for lawful purposes.
- Do not attempt to disrupt, scrape abusively, or misuse the site or any booking/email links.
- Portfolio previews and case notes describe past work; they are not a guarantee of identical results for every future project.
3. No professional advice from the site alone
Content on this site is informational. It is not legal, financial, medical, or other regulated advice. Decisions about your business remain yours until we agree a scoped engagement in writing.
4. Project engagements
- Scope. What we deliver, timelines, and fees are set in a proposal, SOW, or email confirmation you accept.
- Client materials. You confirm you have rights to content, brand assets, data, and access you provide. You grant us a limited licence to use them only to deliver the work.
- Our work product. On full payment for the agreed scope (unless the SOW says otherwise), you own the deliverables created specifically for you. We retain pre-existing tools, libraries, know-how, and generic components we bring to the work, and may reuse non-confidential patterns.
- Feedback. Reasonable revision rounds are as defined in the SOW. Out-of-scope changes are quoted separately.
- Third parties. Hosting, analytics, ads, CRMs, and similar platforms remain under their own terms. We are not liable for outages or policy changes of those providers.
5. Fees and payment
Invoices are due as stated on the invoice or SOW. Late payment may pause work. Deposits, if any, are described in the SOW and are generally non-refundable once work has started, except where we cancel or fail to deliver the agreed scope.
6. Confidentiality
Each party will keep confidential information received from the other private, except where disclosure is required by law, already public, or independently developed. We may list your name and public project URL in our portfolio unless you ask us not to in writing before launch.
7. Warranties and disclaimers
We will perform services with reasonable care and skill. Except as required by law, the site and services are otherwise provided “as is.” We do not warrant uninterrupted availability of the website or third-party tools.
8. Liability
To the fullest extent allowed by law, our total liability for any claim arising from the site or a project is limited to the fees you paid us for that project in the three months before the claim (or, for site-only use with no paid engagement, zero monetary damages). We are not liable for indirect, incidental, or consequential loss (including lost profits, revenue, or data), except where liability cannot be limited by law (for example, death or personal injury caused by negligence, or fraud).
9. Termination
Either party may end an engagement as set out in the SOW. You may stop using the site at any time. Sections on payment for work done, IP, confidentiality, liability, and governing law survive termination.
10. Governing law
These terms are governed by the laws of South Africa, unless your SOW names a different jurisdiction. Courts there have exclusive jurisdiction, except that either party may seek injunctive relief where appropriate.
11. Changes
We may update these terms by posting a new version here with an updated effective date. Continued use of the site after changes means you accept the updated terms for site use. Active project SOWs are not changed retroactively without agreement.
